Terms of Service

1. Agreement to Terms

By accessing or using the services provided by VECTORED ADVANCED SYSTEMS AND TECHNOLOGY, LLC ("VAST," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

VAST provides enterprise technology consulting, artificial intelligence solutions, software engineering, and digital transformation services. The specific scope, deliverables, and terms of each engagement will be defined in a separate Statement of Work (SOW) or service agreement.

3. Client Responsibilities

As a client, you agree to:

• •Ensure timely feedback and approvals as outlined in project timelines
• •Maintain confidentiality of any proprietary information shared during the engagement
• •Comply with all applicable laws and regulations in your use of our services

4. Intellectual Property

Unless otherwise specified in a separate agreement, all intellectual property rights in deliverables created specifically for a client project shall transfer to the client upon full payment. VAST retains rights to any pre-existing intellectual property, tools, frameworks, and methodologies used in service delivery.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the engagement. This obligation shall survive the termination of the business relationship.

6. Limitation of Liability

To the maximum extent permitted by law, VAST shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

7. Indemnification

You agree to indemnify and hold harmless VAST, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your breach of these terms or your misuse of our services.

8. Termination

Either party may terminate a service engagement according to the terms specified in the applicable Statement of Work. Upon termination, you shall pay for all services rendered up to the termination date.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
